AdRunna — Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of AdRunna (the "Platform"), operated by Simpliflex Systems Limited (RC-9336897), a company incorporated in Nigeria with operations in the United Kingdom ("we", "us", "our").

By accessing or using AdRunna, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Definitions

"Platform" means the AdRunna website, API, and related services available at adrunna.com and any subdomains.
"User" means any individual or entity that registers for or uses the Platform, including advertisers, media buyers, agencies, and radio station representatives.
"Media Plan" means an AI-generated radio advertising plan produced by the Platform.
"Station Data" means information about radio stations displayed on the Platform, including rates, coverage, and contact details.
"Subscription" means a paid plan granting access to premium features.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

4. Account Registration

4.1. To access certain features, you must create an account by providing accurate and complete information, including a valid email address and password.

4.2. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4.3. You must notify us immediately at hello@adrunna.com if you suspect any unauthorised use of your account.

4.4. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Services

5.1 Station Directory

The Platform provides a searchable directory of Nigerian radio stations. Station Data is compiled from publicly available sources and station submissions. While we strive for accuracy, we do not guarantee that Station Data is complete, current, or error-free. Rate cards and availability are subject to change by stations without notice.

5.2 AI Media Planner

The Platform provides AI-generated radio advertising media plans based on user inputs. Media Plans are recommendations only and do not constitute professional advertising advice. We do not guarantee the accuracy of reach estimates, audience figures, or cost projections. Media Plans do not constitute a booking or reservation of advertising slots.

5.3 Favourites and PDF Export

Users may save stations to a shortlist and export station profiles and media plans as PDF documents for offline reference.

6. Subscription Plans and Payment

6.1 Free Tier

Free accounts have access to the station directory and a limited number of AI-generated media plans per month (currently 3).

6.2 Pro Tier

Pro subscriptions provide unlimited media plan generation and additional features as described on the pricing page. Pro subscriptions are billed monthly in Nigerian Naira (₦) via Paystack.

6.3 Payment Processing

All payments are processed securely through Paystack. We do not store your payment card details. By subscribing, you agree to Paystack's terms of service.

6.4 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you retain access to Pro features until the end of your current billing period. We do not offer refunds for partial billing periods.

6.5 Price Changes

We may change subscription prices with 30 days' written notice. Existing subscribers will be notified by email before any price change takes effect.

7. Acceptable Use

You agree not to:

(a) Use the Platform for any unlawful purpose or in violation of any applicable law or regulation, including the Nigerian Advertising Regulatory Council (ARCON) Code.

(b) Attempt to gain unauthorised access to any part of the Platform, other accounts, or related systems.

(d) Upload or transmit viruses, malware, or other harmful code.

(e) Impersonate any person or entity, or misrepresent your affiliation.

(f) Use Media Plans or Station Data to mislead clients about advertising costs or performance.

(g) Resell or redistribute Platform data or AI-generated content without our written consent.

8. Intellectual Property

You retain ownership of any data you provide to the Platform (campaign briefs, company information, etc.). By submitting content, you grant us a limited licence to process and display it as necessary to provide the Services.

8.3 Media Plans

AI-generated Media Plans are provided for your use in planning advertising campaigns. You may share Media Plans with clients and colleagues. You may not resell Media Plans as a standalone product or represent them as your own proprietary tool.

9. Disclaimers

9.1 No Guarantee of Results

The Platform provides planning tools and information. We do not guarantee any particular advertising outcome, audience reach, or return on investment.

9.2 Station Data Accuracy

Station rates, contact information, and availability are provided as-is and may be outdated. Always confirm details directly with radio stations before making booking decisions.

9.3 AI Limitations

AI-generated Media Plans are based on available data and algorithmic recommendations. They should be reviewed by qualified professionals before execution. The AI may make errors in budget allocation, audience estimation, or station selection.

9.4 Service Availability

We strive for high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law:

(a) We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

(b) Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you have paid to us in the 12 months preceding the claim.

(c) We are not liable for any losses arising from reliance on Station Data, Media Plans, or any other information provided through the Platform.

11. Indemnification

You agree to indemnify and hold harmless Simpliflex Systems Limited, its directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any law or third-party rights.

12. Termination

12.1. You may close your account at any time by contacting us at hello@adrunna.com.

12.2. We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity of the breach.

12.3. Upon termination, your right to access the Platform ceases immediately. We may retain your data for a reasonable period as required by law or for legitimate business purposes.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

13.2 Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023.

13.3 UK Users

If you are accessing the Platform from the United Kingdom, nothing in these Terms excludes or limits your statutory consumer rights under UK law.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes by email. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
